Okay, now I was mentioning, remember I was mentioning, we have our 17 under each of the five. Well, under control environment, we have five to memorize. Control environment includes processes, structures, and standards that provide foundation. Okay. Well, within control environment, we have commitment to ethics and integrity going at the top.

Definitely a solid thing to memorize, right? A multiple choice question could say, "Oh, we have organizational structure. Which of the five does it fall under?" You got to know that's control environment. That's how these multiple choice questions will be structured. If you're getting aggravated that it's just such a blatant memorization, I mean, hey, I didn't write the test. We're just getting you through it. We're getting you through it and you will do fine. But I'm telling you exactly how to do it.

And you'll be fine as long as you keep everything memorized. Board independence and Oversight, so board of directors is independent from management, meaning the board of directors is not independent to the company. They're independent from management. So the board of directors, as I mentioned, has a fiduciary duty to the shareholders. So you want them very dependent on the company, but you don't want management influencing the board of directors. These two should be kept separate. Generally, management oversees the day-to-day of the organization. Board of directors sees the overarching plan of the company for a longer period of time. That's an important distinction to make, right? Board of directors doesn't need to be independent.

Actually, you want both the board of directors and management to be dependent and have affiliations with the company. You want both of them to have stock in the company, because if they hold stock in the company, then they actually care about the
